Please read this entire page before you agree and click the CONTINUE button below and before you begin to complete the GTV New Product Submission process.
By your completing the GTV New Product Submission process and in consideration of GTV’s review of your new product submission, you hereby irrevocably acknowledge and agree, with the intention of being legally bound, to the following terms and conditions:
GTV does not want to receive confidential or proprietary information from you through our web site. Please note that any information or material sent to GTV will be deemed NOT to be confidential. By sending GTV any information or material, you grant GTV an unrestricted, irrevocable license to copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, modify, create derivative works from, and otherwise freely use those materials or information. You also agree that GTV is free to use, for any purpose, any ideas, concepts, know-how, techniques, that you send us. However, we will not release your name or any personally identifiable information that you submit to GTV as part of submitting your new product submission, or otherwise publicize the fact that you submitted materials or other information to us unless: (a) we obtain your permission to use your name and any personally identifiable information that you submit to GTV; or (b) we first notify you that the materials or other information you submit as part of submitting your new product submission will be published or otherwise used with your name on it; or (c) we are required to do so by law.
You acknowledge that by sending your GTV New Product Submission in no way implies or creates a confidential relationship or any other obligation of any kind between you and GTV, including, but not limited to, an obligation by GTV to maintain secret any product, material, or information, identified as part of your GTV New Product Submission, to pursue commercialization of your product, or to pay any consideration for any use of your product or material.
Your rights and remedies in connection with your sending us your GTV New Product Submission, or GTV’s use of the product, if any, shall be limited exclusively to the rights and remedies you may be entitled to under applicable United States patent, copyright, and trademark law. GTV shall in no way be limited from contesting the validity of any patent, copyright, or trademark, that may have been, or will later be, issued on or obtained for any product, material, or information, that is part of your GTV New Product Submission.
You acknowledge that GTV may have developed, or may develop in the future, a product or material that contains elements, functions, or features similar or identical to the product or material that is part of your GTV New Product Submission.
You waive all claims and remedies you may have arising out of any disclosure or submission you send as part of the GTV New Product Submission. You further agree that any information or submission you send as part of the GTV New Product Submission shall not be construed as any form of legal notice to GTV.
You agree that these terms and conditions shall inure and be binding on your heirs, successors, representatives, assigns, and licensees. You further agree that you have read and understand these terms and conditions, and they contain the entire understanding between you and GTV, and they may not be modified or waived except in writing signed by an officer of GTV.
If anything provided in these terms and conditions be void or unenforceable, such provision shall be deemed omitted, and these terms and conditions with such provision omitted shall remain in full force and effect.
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Florida, and without regard to conflict of laws principles. Any dispute, law suit, or proceeding, brought under or in connection with these terms and conditions may be brought only in the state or federal courts in Broward County, Florida, and you consent to personal jurisdiction and venue of such courts. |
